1. Acceptance of Terms

The IXI Link name, the IXINET LIMITED name, and all related logos, product and service names, designs, and slogans are trademarks of IXINET LIMITED or its affiliates. All other names, logos, product and service names, designs, and slogans that may appear on the Service are the trademarks of their respective owners.

Subject to your compliance with these Terms of Service, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal, non-commercial use or for legitimate business purposes directly related to evaluating and engaging our professional services. We do not warrant that any defects or errors in the Service can or will be corrected.

This limitation applies to all claims, whether based on warranty, contract, tort (including negligence), strict liability, statutory duty, or any other legal theory, and whether or not we have been informed of the possibility of such damage. To the extent that any jurisdiction does not allow the exclusion or limitation of certain damages, some or all of the above exclusions or limitations may not apply to you, and you may have additional rights.

In no event shall the aggregate liability of IXINET LIMITED and its affiliates for all claims arising out of or relating to the Service or these Terms of Service exceed the greater of one hundred United States dollars (USD 100.00) or the amounts paid by you to IXINET LIMITED for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless IXINET LIMITED, its affiliates, and their respective directors, officers, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys fees and legal costs) arising out of or relating to: your violation of these Terms of Service; your use of the Service, including but not limited to any User Content you submit or transmit; your violation of any third party right, including without limitation any intellectual property right, privacy right, or proprietary right; or your violation of any applicable law, rule, or regulation.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate fully with our defense of such claim and shall not settle any matter without our prior written consent.

14. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation, including non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the Peoples Republic of China, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Service or the Service shall be instituted exclusively in the competent courts located in Hong Kong. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or these Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred.

15. Dispute Resolution

We encourage you to contact us directly to resolve any disputes or concerns you may have regarding the Service or these Terms of Service before pursuing formal legal action. Many issues can be resolved quickly and amicably through direct communication.

15.1 Informal Resolution

Before filing any claim, you agree to first contact us at support@ixilink.buzz and attempt to resolve the dispute informally. We will also attempt to resolve the dispute informally by contacting you. If the dispute is not resolved within 45 days of receipt of the notice, either party may proceed with formal dispute resolution as provided below.

15.2 Mediation and Arbitration

In the event that informal resolution is unsuccessful, the parties agree to submit the dispute to mediation administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with its mediation rules in effect at the time. If the dispute is not resolved through mediation within 60 days of the commencement of mediation, or at such other time as the parties may agree in writing, the dispute shall be referred to and finally resolved by arbitration administered by the HKIAC in accordance with its arbitration rules.

The arbitration shall be conducted by a single arbitrator appointed in accordance with the HKIAC rules. The seat of arbitration shall be Hong Kong. The language of the arbitration shall be English. The award of the arbitrator shall be final and binding, and judgment upon the award rendered may be entered in any court having jurisdiction thereof.

16. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. When we make changes, we will revise the Last Updated date at the top of this page and post the updated version on the Service. The modified terms will become effective immediately upon posting, unless otherwise specified.

It is your responsibility to review these Terms of Service periodically for changes. Your continued use of the Service following the posting of revised Terms of Service means that you accept and agree to the changes. If you do not agree to the new terms, you must stop using the Service immediately.

Assignment: You may not assign or transfer these Terms of Service or any rights or obligations hereunder, by operation of law or otherwise, without our prior written consent. We may assign, transfer, or delegate these Terms of Service or any of our rights and obligations hereunder without restriction and without your consent. Any attempted assignment in violation of this provision shall be null and void.

Force Majeure: Neither party shall be liable for any failure or delay in performance under these Terms of Service, other than for payment obligations, to the extent such failure or delay is caused by circumstances beyond the party reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Relationship of the Parties: Nothing in these Terms of Service shall be construed as creating a partnership, joint venture, agency relationship, or employment relationship between you and IXINET LIMITED. Neither party has any authority of any kind to bind the other in any respect whatsoever.
